Introduction
This Merchant Services Agreement (“Agreement”) governs access to and use of the Aulax digital infrastructure platform (the “Platform”) operated by Antive Ltd, trading as Aulax (“Aulax”, “Antive”, “we”, “us”, or “our”).
By registering or activating a Merchant account on the Platform, the Merchant agrees to be bound by the terms of this Agreement and the Aulax platform policies referenced herein.
Aulax operates a mobile-digital infrastructure platform enabling Merchants to interact with Users through automated commerce systems.
The Platform functions as a digital venue connecting independent participants within a physical-digital commerce environment.
Aulax provides infrastructure supporting:
Aulax does not participate in the underlying transaction between the Merchant and the User.
The Merchant is the sole Seller of Record in all transactions with Users.
The Merchant is responsible for:
Aulax does not manufacture, inspect, prepare, store, distribute, or fulfil goods or services offered by Merchants.
Nothing in this Agreement creates:
The Merchant has no authority to bind or represent Aulax.
Aulax operates solely as a technical service provider within the meaning of Regulation 3(k) of the Payment Services Regulations 2017.
Aulax does not act as:
Payments may be processed through regulated third-party payment service providers.
Merchants retain beneficial ownership of transaction proceeds.
Aulax is not liable for the acts, omissions, delays, investigations, account freezes, compliance checks, or insolvency of third-party payment processors.
Merchants remain solely responsible for:
Merchant onboarding is governed by the Merchant Verification & Onboarding Policy.
Aulax may require documentation including:
Failure to provide requested documentation may result in suspension or termination.
Merchants are solely responsible for:
Aulax does not validate incoming orders.
Merchant listings are governed by the Aulax Merchant Listing & Product Policy.
Merchants are responsible for ensuring that all product information, descriptions, images, and promotional materials published through the Platform are accurate and lawful.
Merchants must ensure that any advertising, promotional content, or commercial communications presented through the Platform comply with applicable advertising and consumer protection laws and must not contain misleading or deceptive claims.
Aulax may remove listings or promotional content that violate applicable laws or platform policies.
To support discovery, the Platform may generate merchant profiles or product listings using publicly available information, conceptual imagery, or automated systems.
Such information may appear on the Platform before a Merchant formally registers or verifies an account.
Automatically generated content may be incomplete or inaccurate.
Upon onboarding, the Merchant is responsible for reviewing, correcting, and maintaining the accuracy of all listings associated with their business.
Merchants must accept or reject orders within 60 seconds (Aulax Server Time).
Orders not actioned within this window will automatically expire.
Repeated failures to respond may result in disruption fees, suspension, or termination.
The Platform is provided “as-is” and “as-available.”
Aulax makes no warranties regarding:
Merchant payouts are processed weekly to the Merchant's registered bank account.
Merchants may request early payouts subject to administrative processing fees.
Convenience or transaction fees charged to Users belong exclusively to Aulax.
Commission may apply to completed orders processed through the Platform.
Aulax may deduct from Merchant payouts any:
Merchants must maintain an appropriate data storage plan for storing transaction, order, and customer information.
Premium accounts may provide access to:
Where Merchants enable cash payments, the Merchant assumes full responsibility for:
Aulax provides no cash-handling safeguards.
Merchants must verify the Aulax Order Code prior to releasing goods.
Aulax is not liable for losses resulting from failure to verify order codes.
Merchants are solely responsible for:
Aulax is not liable for defective or unsafe products.
Users may submit reviews or ratings relating to the Merchant.
Merchants acknowledge that such feedback represents independent user opinions.
Aulax is not responsible for user-generated content.
Where Merchants sell age-restricted goods, the Merchant remains responsible for verifying legal age requirements.
Digital verification tools provided by Aulax are assistive only.
Merchants act as independent controllers for their own customer transaction data.
Aulax acts as controller for platform infrastructure analytics and system logs.
Platform interaction data including:
remain the property of Aulax.
Merchants must not tamper with or interfere with:
Merchants must maintain appropriate public liability and product liability insurance where required by law.
Aulax may update or modify platform systems including:
Merchants agree to indemnify Aulax against claims arising from:
Nothing excludes liability for:
Subject to the above, Aulax shall not be liable for:
For claims relating to a specific transaction, Aulax's liability shall not exceed the value of the order giving rise to the claim.
For other claims, liability shall not exceed the total commissions paid by the Merchant to Aulax during the preceding 12 months.
Aulax shall not be liable for indirect or consequential loss.
Aulax may suspend or terminate Merchant access for:
Aulax is not liable for failures caused by events beyond reasonable control including:
Merchants are responsible for ensuring that their use of the Platform complies with all applicable laws in the jurisdictions where they operate.
Aulax does not guarantee that merchant offerings are lawful in all jurisdictions.
This Agreement is governed by the laws of England and Wales.
Disputes shall be subject to the jurisdiction of the courts of England and Wales.
